Terms of Service for Sure Call Solutions

1. Acceptance of Terms
Welcome to Sure Call Solutions ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at [YourWebsiteURL.com] (the "Site") and our lead generation services (the "Services"). By accessing our Site or using our Services, you ("User," "you," or "Provider") agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you are prohibited from using the Site and Services.

 
2. Definitions
"Provider" or "You": A home services business (e.g., plumbing, HVAC, electrical, roofing) that registers with Sure Call Solutions to receive Leads.
"Consumer" or "Lead": An individual who submits their contact information through our Site or partners, expressing interest in obtaining home services.
"Lead Data": The information provided by a Consumer, which may include but is not limited to name, address, phone number, email address, and description of the service needed.
 
3. Services Description
Sure Call Solutions operates as a lead generation service. We connect Consumers seeking home services with Providers like you. We generate Leads through our website, advertising campaigns, and partner networks. We then sell and distribute these Leads to Providers based on their selected service categories and geographic areas.

 
4. Provider Account Registration
To receive Leads, you must create an account. You agree to:
Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information to keep it accurate.
Keep your password secure and confidential.
Accept full responsibility for all activities that occur under your account.
 
5. Lead Purchase and Delivery
Exclusive vs. Shared Leads: We may offer both exclusive leads (sold to one Provider) and shared leads (sold to multiple Providers). The type of lead and its corresponding price will be clearly indicated at the time of purchase or as part of your service plan.
Delivery: Leads will be delivered to you via email, SMS, API, or through your Provider dashboard, as per our available methods.
Lead Acceptance: You are responsible for promptly contacting the Consumer. We do not guarantee that the Consumer will be available, will answer, or will require services upon your contact.
 
6. Fees and Billing
You agree to pay all fees specified in your selected service plan or for individual Leads purchased.
Fees are due at the time of purchase or as outlined in your billing cycle (e.g., monthly).
All fees are non-refundable. Sure Call Solutions does not offer refunds for Leads based on the outcome. This includes, but is not limited to, the Consumer not answering, not needing the service, choosing another provider, or providing inaccurate contact information. Our service is the connection to a potential customer, not a guarantee of a closed sale.
We use a third-party payment processor. You agree to their terms and provide accurate payment information.
 
7. Provider Obligations and Restrictions
Contacting Leads: You must contact each Lead in a professional, timely, and lawful manner, complying with all applicable telemarketing and email laws (e.g., TCPA, CAN-SPAM).
Prohibited Uses: You agree NOT to:
 
Resell, license, or distribute Leads to any third party.
Use Lead information for any purpose other than to provide a quote for the specific service requested.
 
Use automated dialing systems or pre-recorded messages to contact Leads without explicit prior consent.
Engage in any abusive, harassing, or deceptive practices.
Data Security: You are responsible for securely handling and storing Lead Data in compliance with applicable privacy laws.
 
8. No Guarantees; Disclaimer of Warranties
SURE CALL SOLUTIONS PROVIDES THE SITE AND SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE QUALITY, ACCURACY, OR SUCCESS RATE OF THE LEADS. WE DO NOT GUARANTEE THAT LEADS WILL RESULT IN CONTRACTS, JOBS, OR PROFIT FOR YOU. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 
9. Limitation of Liability
IN NO EVENT SHALL SURE CALL SOLUTIONS, ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

 
10. Indemnification
You agree to indemnify, defend, and hold harmless Sure Call Solutions and its affiliates from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party (including a Consumer); or (d) any dispute between you and a Consumer.

 
11. Consumer Information and Privacy
Our collection and use of Consumer data is governed by our Privacy Policy. As a Provider, you are acting as an independent data controller for the Lead Data you receive. You are solely responsible for complying with all privacy laws regarding your use, storage, and deletion of that data.

 
12. Termination
You may cancel your account at any time through your dashboard or by contacting us.
We may suspend or terminate your account and access to Services immediately, without prior notice or liability, if you breach these Terms.
Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive.
 
13. Modifications
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on the Site and updating the "Last Updated" date. Your continued use of the Services after any change constitutes your acceptance of the new Terms.

 
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio], without regard to its con
flict of law provisions.


15. Disclaimer of Warranties; No Guarantees
The Services and Leads provided by Sure Call Solutions are offered on an "As Is" and "As Available" basis. To the fullest extent permissible under applicable law, Sure Call Solutions expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Sure Call Solutions makes no representations, guarantees, or warranties regarding:
 
Lead Accuracy: The accuracy, completeness, or timeliness of any information provided by a Consumer or within a Lead.
 
Consumer Intent: The genuine intent, eligibility, or financial capability of any Consumer to request, agree to, or pay for services.
 
Consumer Availability: That a Consumer will be available, will answer phone calls or emails, or will respond to contact attempts by the Provider.
 
Service Outcomes: That any Lead will result in a successful quote, a closed contract, a completed job, or any profit for the Provider.
 
Lead Volume: The number or frequency of Leads that will be delivered to a Provider within any given period.
 
The conversion of a Lead into a successful transaction is dependent upon numerous factors outside of Sure Call Solutions' control, including but not limited to the Provider's salesmanship, pricing, reputation, responsiveness, and the competitive landscape.
 
The Provider acknowledges and agrees that they assume all risk associated with the use of the Leads and the outcome of any interaction with a Consumer.
 
16.  Provider Obligations for TCPA and Telemarketing Compliance
1. Acknowledgment of Responsibility. Provider acknowledges that Sure Call Solutions acts solely as a lead generator and does not initiate or control any telephone calls or text messages between Provider and the Consumer. Provider is solely responsible for ensuring that its communication practices with all Leads comply with all applicable federal and state laws, regulations, and rules, including but not limited to the Telephone Consumer Protection Act (TCPA), the FTC’s Telemarketing Sales Rule (TSR), and relevant state telemarketing laws.
 
2. Express Prior Consent. Provider is solely responsible for obtaining and maintaining proof of prior express written consent from the Consumer as required by the TCPA before initiating any automated telephone calls (including robocalls, pre-recorded messages, or auto-dialing systems) or automated text messages to a consumer's mobile phone. Provider agrees that Sure Call Solutions has not obtained this consent on Provider’s behalf.
 
3. Scrubbing Against DNC Lists. Provider is solely responsible for scrubbing all Lead data against the National Do Not Call Registry, any relevant state Do Not Call lists, and its own internal Do Not Call list before initiating any telemarketing calls.
 
4. Indemnification. Provider agrees to indemnify, defend, and hold harmless Sure Call Solutions, its affiliates, and its agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including, without limitation, reasonable attorneys' fees) arising out of or relating to any claim, complaint, or regulatory action resulting from Provider’s failure to comply with the TCPA, TSR, or any other telemarketing or communication law.
 
5. No Liability. Sure Call Solutions shall have no liability whatsoever for any violation of telemarketing or communication laws committed by Provider or its agents. Provider acknowledges that the purchase of a Lead does not constitute consent from the Consumer to be contacted by Provider under the TCPA, TSR, or any other law.
 
17. TCPA Compliance Clause for Sure Call Solutions
1. Provider's Sole Responsibility for Compliance.
Provider acknowledges and agrees that it is solely responsible for complying with all applicable federal, state, and local laws, regulations, and rules governing telephone solicitations, telemarketing, and electronic communications, including but not limited to the Telephone Consumer Protection Act (TCPA), the FTC’s Telemarketing Sales Rule (TSR), and their implementing regulations (collectively, "Telemarketing Laws").

 
2. Nature of Sure Call Solutions' Service.
Provider understands that Sure Call Solutions is a lead generation service. We provide contact information for consumers who have expressed an interest in home services ("Leads"). We are not the initiator, originator, or sender of any telephone call or text message between Provider and a Lead. The Provider is the sole initiator and controller of all communications with Leads.

 
3. Requirement for Prior Express Written Consent.
Provider is solely responsible for obtaining and documenting the prior express written consent from each Lead as required by the TCPA before initiating any autodialed, pre-recorded, or artificial voice calls, or automated text messages to a cellular telephone number. Provider acknowledges that the purchase of a Lead from Sure Call Solutions does not constitute the required prior express written consent under the TCPA.

 
4. Do Not Call Registry Obligations.
Provider is solely responsible for scrubbing all telephone numbers provided in the Leads against the National Do Not Call Registry, any relevant state Do Not Call lists, and Provider's own internal Do Not Call list prior to initiating any telemarketing calls.

 
5. Indemnification for Violations.
Provider shall indemnify, defend, and hold harmless Sure Call Solutions, its affiliates, officers, directors, agents, and employees from and against any and all claims, demands, lawsuits, liabilities, damages, penalties, fines, costs, and expenses (including, without limitation, reasonable attorneys' fees) arising out of or relating to:

 
(a) Provider's failure to comply with any Telemarketing Laws;
(b) Any communication, call, or text message made by Provider or its agents to a Lead; or
(c) Any claim that Provider violated the rights of a Lead under any Telemarketing Law.
6. No Liability.

Sure Call Solutions shall have no liability whatsoever for any violation of Telemarketing Laws committed by Provider or its agents. Provider's sole and exclusive remedy for any dispute concerning the quality or legality of a Lead is limited to the terms of the refund policy, if any, as outlined in these Terms.
